Hong Kong-listed International Entertainment Group recently disclosed in a regulatory filing that it has identified a potential online gambling operator target and is currently negotiating cooperation matters. This means that the gambling enterprise, with the New Coast Hotel Manila as its core asset, is taking a crucial step from physical casino operations to the online gambling field. IEC's subsidiary, New Coast Leisure, had already obtained a Philippine electronic casino gaming operator license in February 2025, allowing it to operate electronic gambling businesses within the Philippines. After obtaining the license, the company did not rush to enter the market but first took time to conduct feasibility studies and scout investment opportunities, only now reaching the step of identifying potential partners. However, the company has also left itself an out—no binding agreements have been signed yet, and everything is still subject to change.

Compliance First: Legal Advisors and International Audits Double Check

IEC is quite cautious about compliance. The company explicitly stated in the announcement that it has hired local legal advisors in the Philippines to assess whether the proposed online gambling operations comply with applicable laws and regulations, and has also commissioned an international auditing firm to conduct a comprehensive review of internal controls, including anti-money laundering procedures. Currently, the legal opinion and internal control assessment report have not yet been issued. The company also specifically reminds that entering the online gambling field will strictly depend on regulatory compliance and the satisfaction of Hong Kong listing rules, and failure to meet the legal standards of the relevant jurisdiction may lead to regulatory actions, even triggering a suspension of trading. This set of compliance-first operations is not common among Hong Kong-listed gambling enterprises and also reflects the increasingly tight regulatory environment of the Philippine online gambling market in recent years.

$1 Billion Renovation Behind Strategic Synergy

IEC's core asset is the New Coast Hotel in Manila, a property acquired from a Philippine entertainment gambling company, currently undergoing a comprehensive renovation costing $1 billion. The main renovation work was completed in early 2026, with the goal of reopening in July this year with a brand-new look. The planning of online gambling operations and the upgrade of the physical hotel are not two parallel lines—IEC clearly hopes to use the New Coast Hotel as an offline anchor, extending its business radius from within the hotel walls to the national market through the online gambling license, building an integrated gambling ecosystem online and offline.

What is more intriguing is the involvement of DigiPlus. This local online gambling giant in the Philippines is gradually acquiring control of IEC through the subscription of convertible notes, with the first phase of subscription completed and the second phase about to be finalized. After all conversions, DigiPlus will hold about 53.89% of IEC's shares. For DigiPlus, controlling IEC means simultaneously acquiring an electronic casino license, a physical hotel asset about to be renovated, and a bridgehead into the Hong Kong capital market. For IEC, DigiPlus's operational experience and localized resources in the Philippine online gambling field perfectly complement its capability gap from physical to online transition.
