Press release.- EveryMatrix has made a recommended public offer to acquire all shares of Fantasma Games AB at a value of SEK59 (EUR5.21) in cash per share, leading to a total cash consideration of SEK209.8m (EUR18.5m). The shares of Fantasma Games AB are listed on the Nasdaq First North Growth Market in Sweden.
The acceptance period for the offer is expected to begin on September 19, 2024, and end on October 10, 2024.
The acquisition would significantly strengthen EveryMatrix's game production with the immediate addition of well-known titles that are integrated with more than 250 operators and played by millions of players in 50 countries.
EveryMatrix is the world's largest game aggregator through its aggregation platform SlotMatrix with more than 29,000 games from over 330 third-party studios, in addition to its own internal game development within Armadillo Studios.
Fantasma Games is a highly respected game developer with a strong management team and well-established game production and distribution. Fantasma has experienced very strong development and recorded an EBITDA of EUR395,000 in the second quarter, a profit margin of 36 percent. The proposed transaction would strengthen EveryMatrix's gaming division with strong synergies between both companies.

More than 50 percent of the shareholders of Fantasma Games have signed binding agreements to sell their shares. The offer is conditional on at least 90 percent of the shareholders accepting the offer.
The event will mainly honor the sellers of the entity.
Puerto Rico.- Next Saturday, September 28, at the Cataño Waterfront, the 90th anniversary of the Traditional Lottery of Puerto Rico will be commemorated with a large family show dedicated to the ticket sellers.
The secretary of the Department of the Treasury, Nelson Pérez Méndez, along with the assistant secretary of the Bureau of Lotteries of Puerto Rico, Lorna Huertas, and the mayor of Cataño, Julio Alicea Vasallo, announced the celebration.
“This year we had to celebrate in style the trajectory of an institution that has impacted and is part of the culture of Puerto Rico. This event, free of cost, will be dedicated to our agents and sellers who are the heart and soul of the Lottery,” said Huertas.
“With satisfaction, I receive and am honored to collaborate with this event of such significance. Almost 3 years ago, when I took office as mayor of this town, I had many goals and projects in mind, and one of them was to turn this Waterfront into a platform for economic and cultural development, and we have fulfilled it. The Big Celebration of the 90th Anniversary of the Traditional Lottery that we will celebrate next September 28 I know that, with God's help, will be a successful event and that in addition to honoring the thousands of ticket sellers or ticketeers, as we better know them, it will also serve as a great family party for Puerto Rico,” Alicea Vasallo pointed out.
The event named «Big Celebration«, will feature live music, cash prizes, and artisans. During the day, approximately 20,000 visitors are expected to enjoy a family-friendly atmosphere with performances by local artists Andy Montañez, Melina León, Limit-21, La Secta, Plenéalo, and Carlos García.

“Every ticket sold is an investment in the well-being of our island,” Huertas stated, highlighting the work of the sellers and the fact that part of the sales nourish the Catastrophic Diseases Fund, the budget of the Puerto Rico Police, public education initiatives, and sports event sponsorships.
